INFORMATION ABOUT DIVIDEND PAYMENT – BANK ACCOUNT DECLARATION

SUBJECT: Dividend Payment — Bank Account Declaration

Further to the resolution of the Annual General Meeting of Cosmos Insurance Company Public Ltd (the “Company”) held on the 14th of May 2026, the proposal of the Board of Directors for the distribution of a dividend amounting to €1.000.000, corresponding to €0,0177 per share of nominal value €0,02, was approved.

Please review the details of the distribution set out below, together with any actions that may be required from your side for the smooth completion of the process.

  1. DIVIDEND DETAILS

The above dividend of €1.000.000 originates from profits amounting to €391.610 for the financial year 2020, profits of €474.670 for the financial year 2021 and profits of €133.720 for the financial year 2022.

Entitled to the dividend are the shareholders registered in the Central Depository and Central Registry (“CDCR”) of the Cyprus Stock Exchange (CSE) as at the Record Date, including investors whose securities transfers have been completed through off-market transactions by that date. As of 28 May 2026, the shares will trade ex-dividend.

The dividend payment will be made on 22 June 2026.

  1. DIVIDEND PAYMENT

All shareholders registered in the Company’s register of members as at the Record Date are entitled to receive the dividend. The way in which shareholders will receive their dividend depends on how they hold their ordinary shares, as described below:

Category Payment Methods
Through an Operator (brokerage firm / custodian) For shareholders holding rights over ordinary shares in the CSE through Operators in the securities system managed by the CDCR, the dividend payment will be made through the Operator following payment of the relevant amount by the Company to the CDCR.

The Operator shall distribute the relevant dividend to its investor-clients.

No action is required by the shareholder. If a shareholder requires further information, they should contact their broker or custodian.

Special Account in the CDCR For shareholders holding rights over ordinary shares indirectly through depository receipts in the CSE (“DR Holders”), the dividend payment shall be made either by electronic bank transfer or by cheque that will be sent to the address of the DR Holder registered in the CDCR as at the Record Date.

For payment by electronic bank transfer, submission of the Bank Account Declaration Form is required within the deadline specified in section 4 below. In the absence of a Bank Account Declaration Form, a cheque shall be sent to the address of the DR Holder recorded in the CDCR records.

It is noted that the Company will not issue any cheques to shareholders whose net dividend is less than €4,00. In such cases, please contact the Company to update your bank account details so that the dividend payment can be made by electronic bank transfer.

  1. TAX AND OTHER WITHHOLDINGS

Pursuant to the provisions of Cyprus Tax Legislation and the Health Insurance System (“GHS”) Law, the dividend income is subject to withholding of Special Defence Contribution (“SDC”) and GHS contribution, unless the beneficiary is entitled to an exemption.

The Company has already paid the applicable SDC withholding under the deemed dividend distribution provisions for the years 2020–2022, together with the relevant GHS contribution.

Shareholders who fall within the category of persons entitled to exemption from the deduction of Special Defence Contribution and/or GHS contribution are required to complete the relevant Declaration for Exemption of an Individual from Special Defence Contribution Withholding (Form TD624NP) (the “Tax Declaration”), available on the website of the Tax Department of the Republic of Cyprus (Tax Department / Special Defence Contribution), together with the declaration of their tax residency when completing the “Bank Account Declaration Form”, evidencing their exemption.

Submission of the above is necessary so that the correct SDC and GHS deductions will be applied in relation to the present distribution, as well as for updating the shareholder’s details in the Company’s records so that the correct deductions will also be applied to any future dividend distributions.

If CSE Shareholders hold a joint investor account, then each CSE Shareholder must sign and submit a separate Tax Declaration. The Tax Declaration must be sent to the Company as follows:

In case where an interested shareholder is not subject to SDC deductions under the applicable tax legislation, but the Company has already paid SDC on the relevant profits under the deemed dividend distribution provisions, the Company will not pay the present dividend without SDC withholding, even if such shareholder subsequently declares non-tax residency in the Republic of Cyprus. Any claim for SDC refund must be pursued exclusively by the shareholder directly with the competent tax authorities of the Republic of Cyprus.

A Dividend Certificate will be sent to all beneficiaries upon completion of the payment.

  1. REQUIRED ACTION

Please complete and return the Bank Account Declaration Form within the deadline stated below.

The Bank Account Declaration Form is addressed only to individuals or legal entities holding shares in a Special Account in the CDCR of the CSE.

Deadline for Submission: 4th of June 2026

Forms received after the deadline will not be considered for the current dividend distribution.

Holders of Special Accounts who fail to respond within the deadline will receive the dividend by cheque, which will be mailed to the address registered in the CDCR. It is noted that the Company will not issue any cheques to shareholders whose net dividend is less than €4,00. In such cases, please contact the Company to update your bank account details so that the dividend payment will be made by electronic bank transfer.

Please also ensure the accuracy and completeness of the information submitted in the Bank Account Declaration Form.

The Company shall bear no responsibility for any delay or inability to proceed with payment due to incomplete or incorrect information submitted by the shareholder.
